Responsibility
- Maintain statutory registers, minute books, and other corporate records for client entities to ensure ongoing compliance with regulatory requirements.
- Prepare, review, and file annual returns, share changes, and other regulatory submissions with ACRA and relevant authorities.
- Coordinate board meetings and AGMs/EGMs, including notices, agendas, minutes, and post-meeting action item follow-ups.
- Draft and review board resolutions, signing authorities, and other corporate secretarial documentation to support governance processes.
- Provide timely guidance on corporate secretarial matters, share transfers, cap tables, and changes in regulatory requirements affecting clients.
- Maintain effective client communications, manage document workflows, and ensure secure, compliant record-keeping using approved software tools.
- Collaborate with colleagues and external advisors to deliver comprehensive corporate secretarial services across a range of industries.
Qualification
- Diploma or degree in Law, Business, Accounting, or a related field; relevant professional experience in corporate secretarial roles.
- 1-3 years of hands-on experience in corporate secretarial or company secretary functions in Singapore.
- Strong knowledge of the Singapore Companies Act, ACRA rules, and regulatory compliance requirements.
- Excellent organizational skills, meticulous attention to detail, and ability to meet tight deadlines.
- Effective communication and client-facing skills; ability to work collaboratively within a team and with stakeholders.
- Proficiency in Microsoft Office and familiarity with document management and e-filing systems; professional certification (e.g., ICSA/CS or equivalent) is a plus.
