Responsibility
- Draft, review, and negotiate a wide range of commercial contracts (vendor, client, licensing, procurement).
- Provide day-to-day counsel on corporate governance, regulatory compliance, and risk management for clients.
- Manage due diligence, deal structuring, and closing activities for M&A and financing transactions.
- Counsel startups, venture capital-backed companies, and established businesses on corporate strategy and compliance.
- Collaborate with attorneys across practice areas to deliver integrated legal solutions.
- Represent clients in negotiations, mediations, and dispute resolution where appropriate.
- Develop and maintain strong client relationships, contributing to business development efforts.
Qualification
- Juris Doctor (JD) from an ABA-accredited law school; active bar admission in New York.
- Minimum 5 years of corporate and commercial law experience in a law firm or in-house setting.
- Strong drafting, negotiating, and analytical skills with meticulous attention to detail.
- Proven ability to manage multiple matters with competing deadlines and deliver results.
- Excellent written and verbal communication and client-facing skills.
- Experience with M&A, venture capital, financing rounds, and corporate governance matters.
- Ability to work independently, with a collaborative, team-oriented mindset.
