Responsibility
- Provide strategic legal counsel on corporate governance, regulatory compliance, and transactional matters for a diverse client base.
- Draft, review, and negotiate a wide range of contracts including vendor, customer, partnership, and licensing agreements.
- Lead due diligence for mergers, acquisitions, financings, and strategic investments.
- Develop and implement comprehensive compliance programs, policies, training, and risk controls.
- Prepare memos, board materials, and executive summaries for senior leaders and clients.
- Manage multiple matters concurrently, tracking milestones and ensuring timely delivery with attention to quality.
- Coordinate with external counsel, regulators, and cross-functional teams; mentor junior associates and paralegals.
Qualification
- Juris Doctor from an ABA-accredited law school; active admission to the New York Bar.
- 4+ years of corporate, transactional, or regulatory compliance experience in a law firm or corporate setting.
- Excellent drafting, negotiation, and analytical abilities with meticulous attention to detail.
- Strong project management skills with the ability to manage multiple matters and deadlines.
- Proficiency with legal research tools, contract management software, and MS Office; experience with e-discovery is a plus.
- Outstanding written and verbal communication; ability to explain complex topics clearly to clients and colleagues.
