In this pivotal role, you will partner with senior clients to navigate sophisticated deals, governance matters, and regulatory challenges while delivering practical, business-minded advice.
Responsibility
- Provide strategic legal counsel on corporate matters including M&A, corporate governance, securities compliance, and risk management.
- Draft, negotiate, and finalize a broad range of commercial contracts and transactional documents.
- Lead due diligence efforts, coordinate with cross-functional teams, and assist with integration planning.
- Advise on regulatory compliance, data privacy, anti-corruption, and internal controls.
- Manage matters with a hands-on approach and supervise junior associates and paralegals.
- Collaborate with finance, risk, and operations to deliver practical, business-focused solutions.
- Represent clients in negotiations with counterparties and regulators as needed, with a strong emphasis on client service.
Qualification
- Juris Doctor from an ABA-accredited law school and active New York bar admission.
- 7+ years of corporate law, M&A, or securities experience, with demonstrated leadership on complex matters.
- Strong drafting and negotiation skills; experience with cross-border transactions is a plus.
- Deep knowledge of NY corporate law, securities regulations, and compliance frameworks.
- Excellent analytical, written and verbal communication, and client relationship skills.
- Ability to manage multiple matters, meet deadlines, and work collaboratively in a fast-paced environment.
- Mentoring experience and a collaborative, client-centric mindset.
