In this role, you will counsel clients on corporate governance, regulatory compliance, and risk management, draft and negotiate contracts, and support complex transactions across various industries. Responsibility
- Provide guidance on corporate governance, securities compliance, and regulatory developments affecting clients.
- Draft, review, and negotiate contracts, NDAs, and vendor agreements with attention to risk allocation and enforceability.
- Lead due diligence and assist with integration planning for M&A transactions.
- Support regulatory filings and internal policy development to ensure adherence to applicable laws.
- Advise clients on risk management, sanctions, anti-money laundering, and data privacy considerations.
- Collaborate with cross-functional teams including finance, operations, and IT to deliver practical legal solutions.
- Prepare client-ready materials, briefing memos, and board-level communications as needed.
Qualification
- Juris Doctor from an ABA-accredited law school and active bar admission in New York.
- 5+ years of corporate law, compliance, or related practice experience in a law firm or in-house setting.
- Strong analytical, writing, and oral advocacy skills with attention to detail.
- Experience with SEC filings, SOX compliance, AML/KYC programs, and data privacy regulations.
- Proven negotiation skills, client service orientation, and the ability to manage multiple matters concurrently.
- Ability to work independently and collaboratively in a fast-paced, client-focused environment.
- Proficiency with legal research tools and contract management systems.
