Veritas Legal Partners, a premier NYC law firm, is seeking an Associate Attorney to join our Corporate & Compliance practice. The ideal candidate has 3-6 years of experience in corporate law, mergers and acquisitions, and regulatory compliance. Your work will involve drafting and negotiating contracts, performing due diligence, advising clients on governance and regulatory matters, and supporting ongoing litigation and dispute resolution as needed. Responsibility
- Draft, review, and negotiate a wide range of corporate agreements, including NDAs, MSAs, joint venture agreements, and vendor contracts.
- Conduct due diligence for M&A transactions and prepare deal summaries and closing checklists.
- Advise clients on regulatory compliance, corporate governance, and risk management.
- Manage matter teams, deadlines, and communications with clients and outside counsel.
- Support litigation readiness and provide legal research and factual analysis as needed.
- Collaborate with partners on strategic transactions and business development initiatives.
Qualification
- Juris Doctor from an ABA-accredited law school; admitted to the New York Bar.
- 3-6 years of corporate, securities, or M&A experience.
- Strong drafting, negotiation, and analytical skills with meticulous attention to detail.
- Experience with due diligence and contract review; familiarity with data rooms.
- Excellent written and verbal communication; client-focused and professional demeanor.
- Ability to manage multiple matters, prioritize workload, and meet deadlines in a fast-paced environment.
- Proficiency with legal research tools (Westlaw/Lexis) and MS Office; familiarity with practice management systems is a plus.
