Responsibility
- Draft, negotiate, and close corporate transactions including mergers, acquisitions, and joint ventures.
- Provide ongoing corporate governance and regulatory compliance counsel to clients.
- Prepare and review market disclosures, SEC filings, and corporate announcements.
- Lead due diligence efforts and coordinate cross-functional teams.
- Manage client communications, risk assessment, and matter budgeting.
- Draft and negotiate commercial contracts, service agreements, and vendor arrangements.
- Advise on risk management, financing, and strategic corporate decisions.
- Mentor junior associates and contribute to business development initiatives.
Qualification
- J.D. from ABA-accredited law school with a strong academic record.
- 3-6 years of corporate law experience, preferably with M&A, securities, and governance exposure.
- Active New York bar admission or eligibility to waive in; ability to practice in New York.
- Excellent drafting, negotiation, and communication skills.
- Strong analytical and problem-solving abilities with attention to detail.
- Ability to manage multiple matters with competing deadlines and prioritize effectively.
- Team-oriented, client-focused, and able to build lasting relationships with stakeholders.
- Experience with cross-border transactions or ERP/tech sector clients is a plus.
