Zenith Law Partners is seeking a skilled Associate Attorney to join our Corporate & M&A practice in New York City. This position offers exposure to high-profile transactions, collaborative mentorship, and clear pathways for advancement.
As a key member of our team, you will advise clients on contractual matters, conduct due diligence, draft and negotiate agreements, and support attorneys through all stages of transactional closing.

Responsibility
- Lead and manage a diverse corporate and M&A docket, from engagement to closing.
- Draft, review, and negotiate complex contracts, including share purchase and asset purchase agreements.
- Conduct due diligence and coordinate with finance, compliance, and outside counsel.
- Prepare closing documents, ancillary agreements, and regulatory filings.
- Provide corporate governance and regulatory guidance to clients.
- Collaborate with partners on strategy, risk assessment, and client relationship management.
- Conduct legal research, draft memos, opinions, and persuasive client-ready briefs.
Qualification
- Juris Doctor from an ABA-accredited law school with strong academic record.
- Active New York State Bar membership required.
- 3-5 years of hands-on experience in corporate law, M&A, and contract drafting (law firm or in-house).
- Excellent written and verbal communication skills with the ability to draft precise, persuasive documents.
- Strong negotiation, analytical, and organizational skills; ability to manage multiple matters and deadlines.
- Proficiency with legal research tools (Westlaw, LexisNexis) and standard office software.
- Client-facing experience and ability to collaborate across cross-functional teams.
- Familiarity with securities regulation and corporate governance is a plus.
