Responsibility

  • Lead and support corporate transactions, including mergers and acquisitions, private equity deals, and venture financing.
  • Draft, negotiate, and finalize complex contracts, terms sheets, and governance documents.
  • Perform due diligence, identify legal risks, and coordinate with cross-functional teams.
  • Provide counsel on securities regulations, disclosure obligations, and compliance programs.
  • Advise on corporate governance matters and internal controls for clients.

Qualification

  • Juris Doctor from an ABA-accredited law school; active New York state bar admission.

  • Proven ability to manage multiple matters and meet deadlines in a fast-paced environment.
  • Strong communication and client-management skills; team-oriented with leadership potential.
