Responsibility
- Lead and support mid-market M&A transactions, joint ventures, and corporate reorganizations, including drafting and negotiating term sheets, SPAs, and ancillary agreements.
- Conduct thorough due diligence, risk assessment, and integration planning to identify client opportunities and mitigate exposure.
- Provide governance, regulatory, and compliance advice to clients, including board matters and shareholder communications.
- Draft and negotiate complex commercial contracts, service level agreements, and licensing agreements.
- Manage client relationships, communicate findings clearly, and collaborate with cross-functional teams to deliver results.
- Mentor junior solicitors, paralegals, and support staff while contributing to knowledge management and business development initiatives.
Qualification
- Qualified solicitor in England and Wales with 3-6 years PQE in corporate law (or equivalent international qualification).
- Demonstrated experience leading mid-market transactions and drafting SPAs, due diligence reports, and governance documents.
- Strong drafting, negotiation, analytical, and client-management skills with a service-oriented mindset.
- Excellent communication and presentation abilities; able to articulate complex issues to clients and internal stakeholders.
- Proven ability to manage multiple deals simultaneously and meet demanding deadlines.
- Solid knowledge of UK corporate law, market trends, and a proactive business-development approach.
