Responsibility

  • Manage a diverse docket of corporate and commercial matters, including contract drafting, due diligence, and deal execution.
  • Conduct thorough legal research and prepare memoranda, risk analyses, and strategic recommendations.
  • Draft and negotiate commercial agreements, licensing agreements, procurement contracts, and related documents.
  • Support litigation matters: pleadings, discovery, document review, and trial preparation as needed.
  • Advise clients on regulatory compliance, corporate governance, and risk management.
  • Collaborate with partners and cross-functional teams to deliver practical, business-minded legal solutions.
  • Manage deadlines, matter budgets, and ensure accurate timekeeping and billing compliance.

Qualification

  • Juris Doctor (JD) from an ABA-accredited law school; active New York Bar admission or ability to obtain admission by examination.
  • 2-5 years of experience in corporate and commercial law; prior law firm or in-house experience preferred.
  • Strong contract drafting and negotiation skills with meticulous attention to detail.
  • Excellent analytical and research abilities; proficient with LexisNexis and Westlaw.
  • Proven ability to manage multiple matters, prioritize work, and meet deadlines in a fast-paced environment.
  • Superior written and verbal communication skills; professional presence and client-facing demeanor.
