Responsibility
- Draft, negotiate, and finalize complex commercial contracts and corporate documents.
- Conduct due diligence for mergers, acquisitions, and financing transactions.
- Assist in corporate governance matters, board advisory, and regulatory compliance programs.
- Support clients with risk assessment, policy development, and internal controls.
- Manage matter workflows, coordinate with clients, and supervise junior associates and paralegals.
- Provide timely legal guidance to clients on regulatory changes and compliance obligations.
- Collaborate with partners and cross-functional teams to deliver practical solutions.
Qualification
- J.D. from an ABA-accredited law school and active bar in New York or eligible for admission within a reasonable time.
- 2-5 years of experience in corporate law, contract drafting, due diligence, and regulatory compliance.
- Proven ability to draft and negotiate complex commercial agreements with attention to detail.
- Experience with mergers and acquisitions, corporate governance, securities, or regulatory filings is a plus.
- Excellent analytical, research, and writing skills.
- Ability to manage multiple matters, meet deadlines, and collaborate with cross-functional teams.
- Strong professional ethics and client service mindset.
