Responsibility
- Draft and negotiate commercial contracts and corporate documents with accuracy and timeliness.
- Advise clients on corporate governance, regulatory compliance, and risk management.
- Manage and support litigation matters, including discovery, motion practice, and client communications.
- Conduct legal research, draft memoranda, and present clear recommendations to partners and clients.
- Lead due diligence, M&A filings, and integration planning for transactional work.
- Interface with clients and cross-functional teams to strategize on matters.
- Prepare for negotiations, mediations, and hearings and assist with trial preparation where applicable.
Qualification
- Juris Doctor degree from an ABA-accredited law school; admitted to the New York State Bar.
- 3-6 years of experience in corporate law, contract drafting, and/or litigation in a law firm or in-house setting.
- Excellent analytical, drafting, and oral communication skills.
- Proven ability to manage multiple matters and meet deadlines with meticulous attention to detail.
- Strong negotiation, client-facing, and interpersonal skills.
- Ability to work collaboratively with partners and teams; demonstrated professional ethics and integrity.
- Proficiency in MS Office and legal research platforms (LexisNexis, Westlaw).
