Responsibility
- Advise clients on corporate transactions, regulatory compliance, and governance issues.
- Draft, negotiate, and review a broad range of corporate agreements (vendor, client, joint venture, merger agreements).
- Conduct comprehensive due diligence and coordinate with cross-functional teams.
- Perform legal research, prepare memos, and provide strategic risk assessments.
- Lead matter management, including timelines, budget tracking, and matter documentation.
- Collaborate with partners and associates to develop client relationships and business opportunities.
- Represent clients in negotiations and meetings with counterparties and external counsel where needed.
Qualification
- Juris Doctor from an ABA-accredited law school and active bar admission in New York (or eligible).
- 3-5 years of corporate law experience in a law firm or in-house setting.
- Strong drafting, negotiation, and communication skills with keen attention to detail.
- Proficiency in due diligence, contract management, and regulatory compliance.
- Demonstrated ability to manage multiple matters, prioritize effectively, and work collaboratively in a fast-paced environment.
- Experience with mergers and acquisitions, securities law, and governance matters preferred.
