Responsibility

  • Draft, negotiate, and close complex corporate agreements, including M&A documents, joint ventures, procurement contracts, and commercial terms.
  • Lead due diligence for acquisitions and investments, coordinating with finance, tax, and regulatory teams.
  • Advise clients on corporate governance, fiduciary duties, board matters, and regulatory compliance.
  • Structure and negotiate transaction documents, prepare closing agendas, and manage risk allocation.
  • Develop client-ready engagement letters, term sheets, and advisory memoranda; contribute to business development.
  • Mentor and supervise associates and paralegals, ensuring quality and timely delivery of matters.
  • Provide timely, clear legal counsel and communications to clients and internal teams.

Qualification

  • Juris Doctor from an ABA-accredited law school; active bar admission in New York or eligibility for admission.
  • Minimum 4 years of corporate law experience with emphasis on M&A, governance, and commercial contracts.
  • Strong drafting and negotiation skills across a range of corporate and transactional documents.
