We are a premier NYC law firm seeking a results-driven Corporate & Commercial Lawyer to join our dynamic team. This role offers exposure to high-profile deals, cross-border transactions, and a clear path to partnership.
As a key member of our Corporate Practice, you’ll draft and negotiate complex agreements, counsel clients on governance and compliance, and collaborate with partners across disciplines to deliver practical, business-oriented legal solutions.

Responsibility
- Lead drafting and negotiation of complex commercial contracts including master service agreements, joint venture agreements, acquisition agreements, licensing, and outsourcing arrangements.
- Manage and participate in M&A due diligence, integration planning, and deal closings.
- Advise clients on corporate governance, fiduciary duties, disclosures, and regulatory compliance.
- Support securities, financing, and equity incentive matters as needed.
- Provide practical business-focused legal advice and risk assessment to clients and internal teams.
- Supervise and mentor junior associates, review memos, and contribute to training.
- Collaborate with cross-functional teams (litigation, IP, tax, finance) to deliver comprehensive solutions.
Qualification
- Juris Doctor (JD) from an ABA-accredited law school; admitted to practice in New York or eligible to register as in-house counsel for the state.
- 5+ years of corporate/commercial law experience, ideally at a top law firm or in-house environment.
- Strong track record in M&A, contract drafting/negotiation, corporate governance, and regulatory matters.
- Excellent analytical, writing, and communication skills; ability to articulate complex issues clearly.
- Strong project management skills with the ability to handle multiple matters and meet deadlines.
- Proactive, solutions-oriented, collaborative, and able to work independently as well as in a team.
- Proficiency with legal research tools (Westlaw/Lexis) and contract management systems.
