A.C.T Group is actively seeking a strategic and senior Lawyer (Legal and Compliance) to lead the company’s business and legal affairs. This is a full-time, remote opportunity based in the Philippines, with the ability to influence governance, risk management, and growth across multiple markets. You will partner with executives to shape policy, negotiate strategic agreements, and ensure compliance with applicable laws and industry standards.
As Head of Legal and Compliance, you’ll deliver practical legal guidance, translate complex regulatory requirements into actionable programs, and build scalable processes that protect the company while enabling innovation. You will manage external counsel when needed, oversee data privacy and information security initiatives, and lead training across the organization to foster a culture of risk awareness and integrity. The role demands strong business acumen, exceptional communication, and the ability to work cross-functionally in a fast-paced environment.

Responsibility
- Lead the legal and compliance function, advising executive leadership on risk, governance, and strategic matters.
- Review, draft, and negotiate complex commercial agreements, licensing, and partnerships to protect the company’s interests.
- Ensure regulatory compliance across Philippines law (corporate, privacy, labor, anti-corruption) and monitor changes that affect business operations.
- Develop and implement corporate policies, training programs, and standard operating procedures to mitigate risk and promote ethical conduct.
- Manage relationships with external counsel, coordinate cross-functional teams (Finance, HR, Product, Operations), and ensure timely legal support.
- Oversee data privacy and information security compliance; lead incident response, investigations, and remediation plans where required.
- Provide strategic input to board and senior management, preparing regular reporting on legal risk, compliance metrics, and governance.
- Advise on corporate structuring, mergers and acquisitions, and due diligence activities when applicable.
Qualification
- Law degree (LLB/JD) from a recognized institution; Philippine bar admission preferred.
- 6+ years of experience in corporate law, compliance, risk management, and leadership roles.
- Strong knowledge of Philippine corporate, contract, privacy (PDPA), labor, and anti-corruption laws.
- Proven ability to negotiate complex contracts and manage regulatory affairs across multiple jurisdictions.
- Excellent communication, leadership, and stakeholder management skills; able to influence at the executive level.
- Proven track record in implementing policies, training programs, and risk mitigation across a growing organization.
- Ability to work effectively in a remote, cross-functional environment and manage multiple priorities.
