Capital Dynamics is expanding its legal team in Kuala Lumpur. We are seeking a proactive and results-driven Legal Counsel to support regional operations within our dynamic asset management and corporate services environment. This role combines contract negotiation, advisory, and governance responsibilities, enabling you to impact business decisions while ensuring regulatory compliance across Malaysia and APAC jurisdictions.
As a Legal Counsel, you will negotiate and draft a broad array of commercial agreements, including vendor and supplier contracts, service agreements, licensing arrangements, distribution and channel partnerships, and confidentiality and data protection addenda. You will manage and organize legal documents, maintain contract templates and playbooks, and support corporate secretarial duties such as board materials and regulatory filings. You will collaborate with finance, procurement, risk, and business units to identify legal risks, provide practical risk mitigation advice, and translate complex legal concepts into clear business guidance.
The ideal candidate has a strong foundation in Malaysian contract law, corporate governance, and regulatory compliance, with exposure to data privacy and anti-bribery frameworks. You will demonstrate excellent drafting and negotiation skills, exceptional attention to detail, and the ability to manage multiple priorities in a fast-paced environment. Responsibility
- Draft, review, and negotiate a wide range of commercial agreements including vendor, supplier, service, licensing, distribution, and partnership contracts.
- Provide clear legal guidance on regulatory, privacy, data protection (PDPA) and compliance matters to business units.
- Assist with corporate secretarial duties, including board materials, governance documentation and filings.
- Manage and organize legal documents, templates, and contract lifecycle processes.
- Coordinate with external counsel on complex transactions, disputes, and risk assessments.
- Conduct due diligence for potential investments, mergers, or joint ventures, identifying and mitigating legal risks.
- Monitor regulatory developments and implement policy changes to maintain compliance across markets.
- Support contract risk mitigation and proactive governance reviews to minimize exposure.
Qualification
- Bachelor's degree in Law (LL.B.) or equivalent; admitted to practice in Malaysia or eligible for admission.
- Minimum 3+ years of experience in corporate or commercial law within a in-house or law firm setting.
- Strong knowledge of Malaysian contract law, corporate governance, and regulatory compliance; familiarity with data privacy frameworks (PDPA) is a plus.
- Excellent drafting and negotiation skills with meticulous attention to detail.
- Ability to communicate complex legal concepts to non-legal stakeholders; strong collaboration and cross-functional teamwork.
- Proactive, organized, and able to manage multiple priorities in a fast-paced environment.
- Experience with corporate secretarial duties and governance processes.
- Professional certification in compliance or governance is a plus.
