Responsibility
- Provide precise legal counsel on corporate governance, contracts, and regulatory compliance for a diverse client portfolio.
- Draft, negotiate, and review a wide range of commercial agreements, including NDAs, services agreements, licensing, and vendor contracts.
- Lead due diligence efforts and contribute to M&A or financing transactions as needed.
- Advise clients on risk management, securities compliance, and internal controls.
- Support litigation readiness and coordinate with external counsel for complex disputes.
- Develop training materials and deliver client-focused compliance programs.
- Prospect for new client opportunities and collaborate with partners to grow the firm's practice.
- Mentor junior associates, supervise paralegals, and contribute to a positive, inclusive work culture.
Qualification
- Juris Doctor (JD) from an accredited law school; admitted to practice in New York or eligible for admission by transfer.
- Minimum 4-6 years of relevant experience in corporate law, compliance, or related areas at a law firm or in-house legal department.
- Proven drafting and negotiation skills across commercial agreements and regulatory filings.
- Strong analytical abilities, attention to detail, and ability to manage multiple priorities.
- Excellent communication and client-relations skills; adept at building trusted advisor relationships.
- Experience coordinating with cross-functional teams and external counsel; strong project management capabilities.

- Proficiency with legal research tools, MS Office, and relevant contract management systems.
