Role responsibilities include leading transaction teams, shaping client solutions from inception to close, and collaborating with partners to deliver practical, business-focused legal advice.
Responsibility
- Prepare and negotiate complex corporate contracts, MOUs, and related documents.
- Lead due diligence, drafting, and integration support for M&A transactions.
- Counsel clients on corporate governance, compliance programs, and regulatory requirements.
- Manage matters end-to-end, including drafting, risk assessment, and client communications.
- Conduct legal research and provide practical, actionable guidance.
- Collaborate with partners and junior associates to mentor and develop talent.
- Support litigation and dispute resolution as needed and coordinate with external counsel.
Qualification
- Juris Doctor from an ABA-accredited law school; active New York State Bar admission.
- 5+ years of experience in corporate law, mergers and acquisitions, and regulatory matters.
- Proven drafting, negotiation, and transaction management skills.
- Experience coordinating cross-border deals and multidisciplinary teams.
- Excellent analytical, written, and verbal communication; strong client-facing skills.
- Ability to manage multiple deadlines and mentor junior colleagues.
- Commitment to professional ethics and continuous legal education.
