Responsibility
- Draft and negotiate complex commercial contracts, including vendor and client agreements
- Lead due diligence, risk assessment, and closing processes for corporate transactions
- Provide ongoing corporate governance and regulatory compliance guidance to clients
- Advise on M A structuring, financing, and integration planning
- Coordinate cross functional teams and supervise junior associates
- Draft memos, opinions, and board materials with clarity and precision
- Maintain strong client relationships and contribute to business development
Qualification
- Juris Doctor from ABA accredited law school; bar admission in New York
- Minimum 5 years of corporate law experience in a law firm or in house
- Strong drafting and negotiation skills; attention to detail
- Experience with M A, corporate governance, and regulatory compliance
- Excellent communication and project management skills
- Ability to manage multiple matters with competing deadlines
- Team player with a client oriented mindset
