Responsibility
- Provide strategic legal advice and representation in complex corporate matters, including mergers and acquisitions, financing, governance, and risk management.
- Draft, negotiate, and finalize contracts, agency agreements, and transactional documents with precision and clarity.
- Lead or co-lead client matters, develop case strategies, timelines, budgets, and ensure delivery of results.
- Manage discovery, motions, and litigation support, coordinating with paralegals and external counsel as needed.
- Conduct comprehensive legal research, issue spotting, and memo writing to inform decisions and strategy.
- Advise clients on regulatory compliance, governance, securities, and cross-border considerations across multiple jurisdictions.
- Mentor junior associates, review work product, provide feedback, and contribute to a collaborative high-performance culture.
Qualification
- Juris Doctor (JD) from an ABA-accredited law school; active New York Bar admission.
- Minimum 5 years of experience in corporate law, M&A, or complex litigation with a proven track record.
- Superior drafting, negotiation, and client-facing communication skills.
- Proven ability to manage multiple matters, deadlines, and client expectations under pressure.
- Experience leading junior associates and contributing to mentorship programs.
- In-depth knowledge of corporate governance, compliance, contract law, and relevant regulations.
- Excellent research and analytical abilities; proficient with Westlaw/Lexis and MS Office.
