Responsibility

  • Provide strategic legal advice on corporate governance, mergers and acquisitions, securities offerings, and financing transactions.
  • Draft, negotiate, and review a wide range of corporate documents (term sheets, SPAs, asset purchase agreements, due diligence memos, etc.)
  • Lead due diligence efforts, coordinate with cross-functional teams, and manage transaction timelines to successful closings
  • Advise on regulatory compliance and risk management, including anti-corruption, sanctions, and corporate governance frameworks
  • Collaborate with partners, associates, and clients to develop practical solutions and close matters efficiently
  • Mentor and train junior associates and paralegals; contribute to business development and knowledge management
  • Represent clients in negotiations and meetings; prepare client-ready briefs and presentations

Qualification

  • Juris Doctor from an ABA-accredited law school; admitted to the NY Bar
  • 4-7 years of corporate/M&A experience at a national or large regional law firm; in-house experience considered
  • Demonstrated ability to draft, negotiate, and close complex M&A documents; strong due diligence experience
  • Excellent analytical, writing, and oral communication skills; ability to communicate with clients at all levels
  • Proven track record of handling multiple matters with accuracy and efficiency; strong prioritization skills
  • Proficiency with MS Office, Westlaw/Lexis, and contract management systems; familiarity with e-discovery tools is a plus
  • Commitment to collegial culture, client service, and the professional development of junior team members
