Northbridge Legal Partners is seeking a highly accomplished Senior Corporate Counsel to join our New York office. You will lead complex transactions, advise on regulatory matters, and help shape our growing portfolio of Fortune 500 clients.

Responsibility
- Lead complex M&A transactions from diligence to closing, including term sheet drafting and negotiation.
- Draft and negotiate commercial contracts, licensing agreements, and vendor arrangements.
- Advise on regulatory compliance, data privacy, antitrust, and corporate governance matters.
- Manage external counsel and coordinate cross-functional teams across finance, tax, and risk.
- Conduct due diligence and oversee risk assessment for new ventures and investments.
- Provide strategic legal guidance to executive leadership on corporate strategy and risk management.
- Mentor junior associates and contribute to the development of the firm's legal practice.
Qualification
- 8+ years of experience in corporate law, M&A, and commercial contracting (preferably in a top law firm or in-house).
- J.D. from an accredited law school; active New York bar admission.
- Proven track record in negotiating high-stakes transactions and leading cross-border deals.
- Strong knowledge of corporate governance, securities laws, and regulatory compliance.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple matters with meticulous attention to detail and deadlines.
- Client-service oriented with the ability to build trusted relationships with business partners.
