We are seeking a motivated and licensed attorney to join our New York office as a Senior Corporate Lawyer. You will lead complex transactions, advise clients on risk management, and collaborate with top-tier partners to deliver exceptional results.

Responsibility
- Provide strategic legal counsel on corporate governance, structuring, and risk management for a varied client base.
- Draft, negotiate, and review a wide range of contracts including NDAs, service agreements, joint venture agreements, and vendor contracts.
- Lead due diligence and advisory work for mergers and acquisitions and major financings.
- Manage regulatory compliance programs and advise on risk mitigation strategies.
- Collaborate with partners and business teams to develop scalable processes and policies.
- Mentor junior associates and support staff; oversee matter management and billing accuracy.
- Engage with outside counsel as needed and coordinate complex cross-border matters.
- Represent clients in negotiations, dispute resolution, and contract negotiations when required.
Qualification
- Juris Doctor from an ABA-accredited law school and active license to practice in New York.
- Minimum 5 years of corporate law experience, with a proven track record in M&A and contract negotiations.
- Excellent drafting, negotiation, and analytical skills; strong business acumen.
- Ability to manage multiple matters with competing deadlines and work both independently and in a team.
- Experience with regulatory compliance, corporate governance, and risk management programs.
- Proficiency in contract management software and standard office tools; strong research capabilities.
- Excellent communication and interpersonal skills; high ethical standards and client service orientation.
- Bar admission in good standing with no ongoing disciplinary actions.
