As a key member of our corporate practice, you will partner with clients across industries to navigate complex legal challenges and drive business outcomes.
Responsibility
- Lead and negotiate complex commercial contracts and M&A transactions with cross-border teams.
- Provide strategic counsel on corporate governance, regulatory compliance, and risk management.
- Draft and review corporate formation documents, bylaws, equity incentive plans, and ancillary agreements.
- Manage due diligence, deal teams, and external counsel to sustain deal timelines and quality.
- Counsel clients on data privacy, cybersecurity, and regulatory considerations affecting the business.
- Guide dispute prevention, settlement negotiations, and coordination with internal stakeholders.
- Mentor junior attorneys and contribute to business development through client relationships.
Qualification
- Juris Doctor from an ABA-accredited law school; active New York bar or eligibility to sit for NY bar.
- 7+ years of corporate law experience with focus on M&A, contracts, and governance.
- Proven track record negotiating complex deals and coordinating multi-party transactions.
- Excellent drafting, analytical, and verbal/written communication skills.
- Ability to work independently and lead cross-functional teams under tight deadlines.
- Strong client management, business development, and networking capabilities.
- Experience in a top-tier law firm or in-house corporate legal department is preferred.
