We are a leading national law firm seeking a Senior Legal Counsel to join our New York City office. This is a high-impact role reporting to the General Counsel, with broad exposure to corporate, commercial, and regulatory matters.
In this role, you will partner with cross-functional teams to navigate complex legal issues, draft and negotiate high-stakes agreements, manage risk, and ensure regulatory compliance across jurisdictions. Responsibility
- Lead negotiation and drafting of complex commercial agreements, including SaaS, licensing, supply, and services agreements.
- Advise on corporate governance, securities filings, and board-level matters.
- Manage regulatory compliance programs and privacy initiatives across jurisdictions.
- Conduct risk assessments for business initiatives and provide pragmatic mitigation strategies.
- Respond to regulatory inquiries and support responses to investigations.
- Mentor and supervise junior associates, paralegals, and contract specialists.
- Collaborate with Sales, Product, Finance, and HR to enable strategic initiatives while controlling risk.
Qualification
- Juris Doctor from an ABA-accredited law school; admitted in New York or eligible to waive admission requirements.
- Minimum 6 years of experience in in-house or law firm corporate/commercial practice.
- Strong knowledge of corporate governance, securities laws, and data privacy regulations.
- Proven track record negotiating complex commercial agreements with cross-functional stakeholders.
- Excellent drafting, analytical, and communication skills; ability to translate complex legal concepts for non-lawyers.
- Proven ability to lead projects, manage competing priorities, and mentor junior team members.
- High ethical standards, integrity, and ability to maintain strict confidentiality.
