We are seeking an ambitious Associate Attorney to help lead complex corporate matters in our New York office. You will partner with partners and clients to deliver practical legal solutions, develop internal expertise, and drive outcomes that align with business objectives. Responsibility

  • Draft, review, and negotiate complex corporate agreements including NDAs, service agreements, vendor contracts, and licensing arrangements.
  • Support mergers and acquisitions transactions from LOI through closing, coordinating due diligence, drafting transaction documents, and integration planning.
  • Provide strategic guidance on securities laws, corporate governance, and regulatory compliance for public and private companies.
  • Prepare and review board materials, resolutions, committee charters, and other governance filings.
  • Conduct internal investigations and risk assessments, identifying issues and recommending remediation steps.
  • Manage multiple matters with efficiency, ensuring timelines, budgets, and client expectations are met.
  • Collaborate with finance, tax, IP, and other practice areas to structure robust, compliant deal terms.

Qualification

  • Juris Doctor (JD) from an ABA-accredited law school; admission to the New York Bar or eligibility to register for NY Bar within 6 months.
  • 2-5 years of corporate law experience in a law firm or in-house environment with exposure to M&A, governance, and compliance matters.
  • Strong drafting, negotiation, and analytical skills with a practical, business-oriented mindset.
  • Familiarity with SEC reporting, securities laws, corporate governance frameworks, and contract management.
  • Excellent communication and client-relations abilities; proven ability to work collaboratively in a team-based setting.
  • Demonstrated ability to manage multiple complex matters, prioritize effectively, and meet deadlines.
  • Proficiency with document management systems, e-discovery tools, and common business software; high level of integrity and discretion.
