Responsibility
- Draft, review, and negotiate a broad range of commercial agreements including NDAs, master service agreements, procurement contracts, and licensing agreements.
- Lead and coordinate due diligence for mergers and acquisitions and other corporate transactions.
- Advise on corporate governance, board matters, and compliance with applicable laws and regulations.
- Shape deal structures, risk allocation, and negotiation strategies to protect client interests.
- Collaborate with cross functional teams including finance, tax, and operations to drive efficient execution.
- Provide timely guidance on regulatory issues, licensing, and cross border considerations.
- Mentor junior associates and paralegals to promote knowledge sharing and high quality work product.
- Maintain accurate matter management, billing, and documentation practices.
Qualification
- Juris Doctor from an ABA accredited law school and active bar admission in New York
- 3+ years of corporate law experience with a focus on contract drafting and commercial transactions
- Strong drafting and negotiation skills with meticulous attention to detail
- Experience in due diligence and M&A support
- Ability to interpret and apply complex regulations and risk considerations
- Excellent written and oral communication and client service skills
- Ability to manage multiple assignments and meet tight deadlines in a fast paced environment
- Team oriented with a collaborative approach and high professional integrity
