Responsibility
- Draft, review, and negotiate complex commercial contracts and agreements.
- Provide strategic counsel to corporate clients on a full range of business law issues.
- Conduct due diligence in mergers and acquisitions, joint ventures, and private equity transactions.
- Support clients in entity formation, corporate governance, and regulatory compliance.
- Prepare legal memoranda and research emerging legal issues affecting corporate clients.
- Collaborate with partners and legal teams to develop innovative legal solutions.
- Build and maintain strong client relationships through timely and effective communication.
- Represent clients during negotiations, closings, and select court proceedings.
Qualification
- Juris Doctor (JD) from an accredited law school; NY State Bar admission required.
- 2-5 years of experience in corporate or transactional law at a recognized law firm.
- Outstanding analytical, drafting, and negotiation skills.
- Proven ability to manage multiple priorities and meet deadlines in a fast-paced environment.
- Excellent interpersonal skills with a client-oriented mindset.
- Strong attention to detail and professional ethics.
- Experience with M&A, corporate governance, and financing transactions is highly desirable.
- Proficiency in legal research tools and Microsoft Office Suite.
