HelixLex Legal Partners, a premier NYC law firm, seeks a proactive Associate Attorney to join our Corporate & Litigation practice.
In this role, you will advise clients on corporate transactions, regulatory matters, and complex litigation strategies. You will collaborate with partners and cross-functional teams to deliver high-impact solutions for startups, mid-market companies, and multinational clients.
What you’ll do is to provide practical legal advice, draft and negotiate agreements, conduct due diligence, support merger and acquisition (M&A) activities, manage case strategy, and represent clients in hearings as needed.

Responsibility
- Provide strategic legal guidance on corporate matters including formation, governance, and compliance.
- Draft, review, and negotiate commercial agreements, SPAs, NDAs, and licensing agreements.
- Lead due diligence for M&A transactions and assist with transactional closing activities.
- Manage and coordinate litigation matters, conduct fact investigations, and draft pleadings.
- Collaborate with partners to develop matter strategies and client communication plans.
- Perform risk assessments and advise on regulatory compliance and risk mitigation.
- Mentor junior associates and support staff in case preparation and research.
- Represent clients at hearings, negotiations, and settlement discussions as required.
Qualification
- Juris Doctor from an ABA-accredited law school; active bar admission in New York or eligible to waive in.
- Minimum 3-5 years of relevant experience in corporate and litigation practice.
- Strong drafting, negotiation, and advocacy skills with attention to detail.
- Proven ability to manage multiple matters concurrently and meet deadlines.
- Excellent client communication and business development capabilities.
- Experience with due diligence, deal structuring, and regulatory compliance.
- Strong research and analytical skills; proficiency with legal research tools.
- Team-oriented and capable of mentoring junior team members.
