Responsibility

  • Draft, negotiate, and close complex commercial contracts, including M&A agreements, joint ventures, and licensing arrangements.
  • Lead due diligence efforts and coordinate across teams to support successful deal execution.
  • Advise clients on corporate governance, regulatory compliance, risk management, and transactional structuring.
  • Support end-to-end M&A transactions: term sheets, letters of intent, purchase agreements, and closing documents.
  • Prepare client memos, board materials, and executive summaries for complex transactions.
  • Collaborate with partners, outside counsel, and clients to manage timelines, budgets, and expectations.
  • Mentor junior associates and contribute to a knowledge-sharing culture within the practice group.

Qualification

  • Juris Doctor (JD) from an ABA-accredited law school; active New York bar admission.
  • 2-5 years of hands-on corporate law, M&A, or equivalent transactional experience.
  • Excellent drafting, negotiating, and analytical skills with meticulous attention to detail.
  • Proven ability to manage multiple transactions and work under tight deadlines.
  • Strong communication and client-management capabilities; effective cross-functional collaboration.
  • Demonstrated integrity, professional judgment, and commitment to ethical practice.
  • Eligible to work in the United States without sponsorship (or current authorization).
