Responsibility

  • Provide strategic legal counsel on corporate matters, including governance, contracts, securities, and M&A transactions.
  • Lead or support due diligence, drafting, negotiation, and coordination of closing documents for transactions.
  • Assist with cross-border matters and regulatory compliance for clients in various industries.
  • Manage discovery, pleadings, and motion practice in litigation matters; prepare briefs and client-ready analyses.
  • Draft high-quality agreements, risk assessments, and policy documents; review vendor and client contracts.
  • Engage with clients to understand objectives, manage expectations, and deliver practical solutions.
  • Collaborate with partners and associates to develop business opportunities and contribute to firm growth.

Qualification

  • Juris Doctor from an ABA-accredited law school; active NY bar admission or eligibility
  • 3-6 years of experience in corporate law, M&A, and/or commercial litigation; experience at a national or international law firm preferred
  • Excellent drafting, negotiation, and analytical skills; ability to advise clients clearly
  • Strong research skills and proficiency with relevant software (e.g., E-Discovery tools, case management)
  • Demonstrated ability to manage multiple matters with deadlines; strong organizational and communication skills
  • Client-focused mindset with professional judgment and ethical integrity
  • Team player with leadership potential and willingness to mentor junior associates
