Responsibility

  • Lead or co lead corporate transactions, including M&A, equity financings, and joint ventures, from inception to closing.
  • Draft, negotiate, and finalize sophisticated agreements including purchase agreements, shareholder agreements, term sheets, and ancillary documents.
  • Perform due diligence, identify risks, and coordinate cross functional work with finance, tax, and compliance teams.
  • Advise clients on corporate governance, securities compliance, disclosure requirements, and regulatory considerations.
  • Manage matter budgets, timelines, and supervise junior associates and paralegals to ensure quality and efficiency.
  • Draft client ready memoranda, board materials, and presentation decks; deliver clear, persuasive advice.
  • Support business development by drafting pitches, nurturing client relationships, and contributing to proposals.

Qualification

  • Juris Doctor JD from an ABA accredited law school; active bar license in New York or eligibility to obtain it.
  • 5-8 years of corporate law experience in a law firm or in-house setting, with a demonstrated track record in M&A and governance matters.
  • Proven negotiation, drafting, and advisory skills with a client service mindset.
  • Strong analytical abilities, attention to detail, and superior written and verbal communication skills.
  • Ability to manage multiple matters, work under pressure, and mentor junior associates.
  • Familiarity with securities laws, corporate governance frameworks, and regulatory compliance programs.
  • Collaborative attitude with the ability to work cross-functionally and contribute to business development.
