Responsibility
- Provide expert legal counsel on mergers, acquisitions, and corporate restructuring.
- Draft, review, and negotiate complex contracts and legal documents.
- Advise clients on securities law and corporate governance best practices.
- Conduct legal research to ensure compliance with federal and state regulations.
- Represent clients in meetings, negotiations, and due diligence processes.
- Collaborate closely with internal teams and external stakeholders.
- Monitor regulatory developments and proactively manage legal risks.
- Support business development initiatives with legal strategy insights.
Qualification
- Juris Doctor (JD) from an accredited law school.
- Admission to the New York State Bar (active, in good standing).
- 3+ years’ experience in corporate law at a top-tier law firm or in-house legal department.
- Proven expertise in corporate transactions and contract law.
- Exceptional analytical, communication, and negotiation skills.
- Detail-oriented approach and high ethical standards.
- Ability to manage multiple priorities under tight deadlines.
- Proficiency with legal research tools and Microsoft Office Suite.
