Responsibility
- Provide strategic legal counsel on corporate transactions including mergers and acquisitions, financings, and joint ventures.
- Draft, negotiate, and review complex contracts and agreements with attention to risk and commercial objectives.
- Lead due diligence efforts, coordinate cross functional teams, and manage transaction timelines.
- Advise on securities, governance, and regulatory compliance relevant to clients' industries.
- Develop and mentor junior associates, supervise matter budgets, and allocate resources effectively.
- Foster strong client relationships through clear communication and pragmatic legal advice.
- Support firm growth initiatives and contribute to developing firm-wide best practices in corporate law.
Qualification
- Juris Doctor from an ABA-accredited law school and active admission to the New York Bar.
- Minimum 5 years of substantive corporate law experience, including M&A, financing, and contract drafting.
- Proven track record handling complex transactions with cross-border components is a plus.
- Excellent negotiation, drafting, and analytical skills with meticulous attention to detail.
- Ability to manage multiple matters concurrently, prioritize effectively, and work under tight deadlines.
- Strong leadership and collaboration skills; experience mentoring junior attorneys.
- Proficiency with legal research tools, document management, and Microsoft Office Suite.
