Responsibility
- Draft and negotiate corporate agreements, including merger documentation, corporate restructurings, and licensing arrangements.
- Lead due diligence for M&A transactions and coordinate with cross-functional teams (finance, tax, IP, and compliance).
- Provide regulatory and governance guidance across multiple jurisdictions and industry sectors.
- Advise on securities, disclosure, and reporting obligations affecting clients’ corporate activities.
- Manage client relationships, supervise junior associates, and supervise matter budgets and timelines.
- Develop and deliver training and knowledge-sharing sessions for the practice group.
Qualification
- Juris Doctor from an ABA-accredited law school; admission to the New York Bar (active).
- 5+ years of corporate law experience, including mergers & acquisitions, financing, and governance matters.
- Excellent drafting, negotiation, and analytical skills with meticulous attention to detail.
- Proven ability to manage multiple matters and work collaboratively in a fast-paced environment.
- Strong communication and presentation skills; experience with cross-border transactions is a plus.
