Harbor & Ridge Law LLP is actively seeking a Senior Corporate Attorney to join our New York City office. This role focuses on sophisticated corporate transactions, governance, and strategic advisory for a diversified client base, including startups and Fortune 500 companies.
The ideal candidate will bring a client‑centred approach, exceptional drafting skills, and a track record of leading cross-functional teams through complex deals in a fast-paced environment.
Responsibility
- Lead and negotiate complex M&A transactions from term sheet to closing, ensuring favorable terms and risk mitigation.
- Advise clients on corporate governance, fiduciary duties, and regulatory compliance in line with applicable laws.
- Draft and negotiate a wide range of corporate agreements (mergers, joint ventures, partnerships, licensing, and commercial contracts).
- Coordinate due diligence with internal teams and external counsel to identify and address issues.
- Manage and mentor junior associates, paralegals, and cross-functional teams to deliver high-quality work on tight deadlines.
- Provide strategic counsel on corporate restructurings, financing, and risk management initiatives.
- Support cross-border transactions, including compliance with international trade and sanctions regimes where applicable.
Qualification
- Juris Doctor from an ABA‑accredited law school; active bar admission in New York.
- Minimum of 6 years of progressive experience in corporate law, with emphasis on M&A and commercial contracts.
- Strong drafting, negotiation, and analytical skills with meticulous attention to detail.
- Proven ability to manage multiple matters simultaneously and work effectively under pressure.
- Excellent communication and interpersonal skills; client‑facing experience a plus.
- High ethical standards, professional judgment, and a collaborative mindset.
