Elevate your legal career with HarborView Legal Partners as a Senior Corporate Counsel in New York City. This is a high-visibility, in-house role with broad scope across commercial, governance, and regulatory matters. You will partner with business leaders to drive strategic outcomes while ensuring legal risk is managed effectively.
We seek a proactive attorney who can translate complex legal issues into practical business solutions, mentor junior lawyers, and help shape scalable legal playbooks.
Responsibility
- Draft, review, and negotiate a wide range of commercial contracts, licensing, services, and vendor agreements.
- Lead due diligence and integration support for M&A and strategic transactions.
- Advise on corporate governance, securities compliance, and regulatory matters.
- Manage relationships with external counsel and coordinate cross-functional teams.
- Develop and implement contract templates, playbooks, and training materials to improve efficiency and consistency.
- Provide risk assessments, mitigation strategies, and escalation plans for business units.
- Support privacy, data protection, and cybersecurity initiatives as they relate to contractual commitments.
Qualification
- Juris Doctor from an ABA-accredited law school and active New York State bar admission.
- 5+ years of experience in corporate law, contracts, and M&A—preferably in-house or at a top-tier law firm.
- Exceptional drafting, negotiation, and communication skills with the ability to simplify complex topics for non-lawyers.
- Strong due diligence, risk assessment, and problem-solving capabilities.
- Solid understanding of securities laws, corporate governance, and regulatory compliance.
- Ability to manage multiple priorities in a fast-paced environment and mentor junior team members.
- Proficiency in privacy and data protection considerations (GDPR/CCPA) is a plus.
