Responsibility
- Provide strategic legal counsel to executive leadership on corporate transactions, governance, and regulatory matters.
- Lead due diligence, negotiation, and drafting of complex commercial agreements and strategic partnerships.
- Develop and oversee compliance programs, risk assessments, and internal controls.
- Support corporate housekeeping, board materials, and fiduciary duties.
- Advise on data privacy, IP, antitrust, and cybersecurity considerations in deals.
- Mentor junior attorneys and coordinate with external counsel to ensure efficiency and quality.
- Collaborate with cross functional teams to resolve disputes and manage litigation risk.
Qualification
- Juris Doctor from an accredited law school and active New York Bar admission.
- Minimum 5 years of in house or top law firm experience in corporate law and compliance.
- Proven track record in complex contract negotiations and due diligence.
- Excellent written and verbal communication, with strong negotiation skills.
- Ability to work cross functionally in a fast paced, dynamic environment.
- Strong ethical standards and judgment; detail oriented and organized.
- Proficiency in standard office software and legal research tools.
